1. Acceptance of Terms
These Terms and Conditions (the "Terms") form a legally binding agreement between the user and Pandar Resources Limited, operating the Crane product (together, "Crane", "we", "us", or "our"). These Terms govern access to and use of the Crane app, website, communication channels, onboarding workflows, and related services made available through the Crane product.
By creating an account, accessing the service, completing verification, or using any part of Crane, the user confirms that the user has read, understood, and agreed to these Terms, the Privacy Policy, the AML/KYC Policy, and the Appendix. If the user does not agree, the user must not use Crane.
We may amend these Terms from time to time. Where a change is material, we will provide reasonable notice through one or more channels such as email, in-app notice, or website publication. Continued use of Crane after the effective date of an updated version constitutes acceptance to the extent permitted by law.
2. Eligibility
- The user must be at least 18 years old or the age of legal majority in the relevant jurisdiction, whichever is higher.
- The user must have the legal capacity and authority to enter into a binding agreement.
- Access to certain services or features may be restricted by jurisdiction, compliance requirements, product design, risk considerations, or partner availability.
- We may decline, limit, suspend, or terminate access where onboarding, eligibility, risk, sanctions, or regulatory concerns arise.
3. Important Service Disclosure
Crane is a technology-enabled financial product. Users interface with Crane as the customer-facing product. For legal and operational purposes, Pandar Resources Limited is the operating entity. Certain underlying functions, including custody infrastructure, transaction execution, settlement, verification, or related support services, may be performed by third-party partners or regulated providers.
Nothing in Crane should be interpreted as personalised financial, investment, legal, or tax advice. Users remain solely responsible for their own decisions, their own legal and tax positions, and the consequences of using the service.
4. About Crane Services
Service availability may be expanded, restricted, or modified at any time to reflect product changes, partner arrangements, technical limitations, compliance needs, or regulatory developments.
- Display of supported digital asset conversion options and quoted rates through the Crane interface.
- Access to wallet allocation or wallet display functionality made available through integrated infrastructure or licensed partners.
- Facilitation of conversion-related workflows and downstream fiat payout or bank withdrawal functionality where available.
- Customer support, compliance review, transaction monitoring, and related account administration functions.
5. Account Opening and Use of the Service
- Users must provide complete, accurate, and current information at onboarding and throughout the lifetime of the account.
- Users must complete all verification checks required by us or our authorised service providers, including additional reviews requested under AML/CFT, sanctions, fraud, tax, or legal requirements.
- Users must keep login credentials secure and are responsible for activity occurring through their account unless caused by our proven misconduct.
- Users must not permit third parties to use the service through their account except where expressly permitted by us in writing.
- Users must cooperate promptly with any compliance review, risk review, fraud review, dispute investigation, or legal request.
6. Pricing, Quotes, and Fees
Rates, prices, and available transaction terms displayed through Crane may include margins, fees, network costs, or other commercial components. Applicable fees and charges will, where relevant, be disclosed before the user confirms a transaction or instruction.
A displayed rate is not guaranteed indefinitely and may change due to market movement, infrastructure issues, processing windows, liquidity conditions, or operational constraints. We may decline, re-price, delay, or refuse a transaction where a quote expires, there is an error, or there is a risk, compliance, or technical issue.
7. Wallets, Assets, and Transaction Handling
Where wallet functionality is made available through Crane, the relevant wallet infrastructure may be provided or supported by integrated partners. Users must only send supported assets through the supported chains and routes identified by Crane. Unsupported assets or transfers sent through unsupported routes may be delayed, inaccessible, or irrecoverable.
Blockchain transactions, once broadcast or confirmed, may be irreversible. Timing, confirmations, fees, and finality may depend on external networks and partner systems outside our control.
- Users are responsible for checking wallet addresses, token standards, network compatibility, and transaction details before sending funds.
- If funds are credited in error, duplicated, or made available due to a clear mistake, we may restrict, reverse, or recover those funds to the extent legally permitted and operationally possible.
- We may place holds on funds, delay access, or restrict withdrawals where required for compliance, fraud prevention, dispute handling, sanctions review, risk management, or legal process.
8. Prohibited Use, Restrictions, and Suspension
Users receive a limited, revocable, non-exclusive right to use Crane for lawful personal or approved business purposes only. Users must not misuse the service, attempt to bypass security or compliance controls, reverse engineer protected systems, interfere with our infrastructure, or use Crane for any prohibited activity identified in these Terms or the Appendix.
- We may refuse, suspend, restrict, or terminate any account or activity where required by law or regulator, where we suspect high-risk or unlawful activity, where information provided is false or misleading, where a partner declines to support the activity, or where we determine that the relationship is no longer commercially or operationally acceptable.
- Where permitted, users may be allowed a limited period to withdraw available funds following closure. However, no withdrawal will be allowed where blocked by law, court order, regulator instruction, sanctions, fraud review, or unresolved compliance concerns.
9. Complaints and Dispute Resolution
Users who have a complaint should contact support@usecrane.co first. We will aim to acknowledge and review complaints within a reasonable timeframe. Certain complaints may require additional time where partner review, transaction tracing, legal process, or compliance analysis is involved.
Before commencing formal litigation, the parties will seek to resolve disputes through good faith engagement and, where appropriate, mediation or arbitration. Unless otherwise required by law, the governing law is the law of the Federal Republic of Nigeria, and the courts of competent jurisdiction in Nigeria retain authority over matters not fully resolved by alternative dispute processes.
10. Taxes and Reporting
Users are solely responsible for determining, reporting, and paying any taxes arising from their use of Crane or related transactions. We may provide transaction records and may disclose information to tax authorities, regulators, or law enforcement agencies where required by law or reasonably necessary for compliance.
11. Liability, Warranties, and Service Availability
Crane is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim implied warranties not expressly stated in these Terms, including implied warranties of uninterrupted availability, merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee that the service will always be uninterrupted, error-free, continuously available, or free from delays caused by market conditions, partner systems, banks, blockchains, telecom providers, cloud services, cyber incidents, force majeure events, regulatory action, or lawful restrictions.
To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, punitive, exemplary, or consequential losses, including loss of profit, loss of opportunity, loss of goodwill, or business interruption. Our aggregate liability in connection with any specific claim will not exceed the direct value of the transaction specifically affected, unless a higher liability is mandated by non-excludable law.
12. Miscellaneous
- If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force to the extent lawful.
- Rights and obligations that by their nature should survive termination, including compliance, recordkeeping, liability limitations, dispute provisions, and cooperation obligations, will survive termination.
- In the event of a reorganisation, merger, sale, acquisition, or other corporate restructuring, rights and obligations under these Terms may be assigned or transferred in accordance with applicable law and the Privacy Policy.
- These Terms, together with the Privacy Policy, AML/KYC Policy, and Appendix, form the complete understanding governing use of Crane unless supplemented by an express written agreement.
Appendix 1: Prohibited Use, Prohibited Businesses, and Conditional Use
This Appendix forms part of the Crane Terms and Conditions. The examples below are representative and not exhaustive. We may determine, in our reasonable judgement, that other activities are prohibited, restricted, or subject to conditions where they present unacceptable legal, regulatory, operational, fraud, sanctions, or reputational risk.
1.1 Prohibited Use
- Unlawful activity, including violation of any law, sanctions programme, court order, regulatory restriction, or third-party rights.
- Fraud, deception, misrepresentation, account takeover, identity misuse, chargeback abuse, false documentation, or any attempt to obtain funds, access, or services dishonestly.
- System abuse, including interference with the platform, reverse engineering, scraping without permission, unauthorised access, malware distribution, or attempts to disable or bypass security controls.
- Harassment, abuse, threats, intimidation, doxxing, or misuse of information relating to other users, our staff, or partners.
- Use of Crane in connection with gambling, illegal wagering, unlawful gaming schemes, or prohibited prize structures.
- Intellectual property infringement, including sale or promotion of counterfeit goods or unauthorised use of proprietary content, trade marks, or protected works.
- Money laundering, terrorism financing, sanctions evasion, mule activity, layering, structuring, or any activity designed to disguise source, ownership, movement, or destination of funds.
1.2 Prohibited Businesses
- Businesses involved in unlawful financial services, unlicensed investment or securities activity, debt manipulation schemes, predatory financial products, or prohibited credit intermediation.
- Sale or distribution of counterfeit goods, infringing goods, narcotics, illegal drugs, drug paraphernalia, illegal weapons, or other unlawful products or services.
- Adult content or services where prohibited by our policies, applicable law, or our partner restrictions.
- Pyramid schemes, Ponzi schemes, deceptive multi-level marketing structures, or other business models that are exploitative, unfair, or structurally abusive.
- Any business category we classify as too high risk for the service in light of compliance expectations, partner restrictions, or regulatory posture.
1.3 Conditional Use
- Certain higher-risk categories may only be permitted with prior written approval and additional controls. These may include payment intermediaries, charities, certain gaming structures, or other categories subject to enhanced review.
- Approval may be withdrawn at any time if risk, partner support, regulatory posture, or operational controls change.
2. Verification Procedures and Account Limits
To protect against fraud, financial crime, and abuse, Crane uses tiered verification and risk-based controls. Limits, transaction access, speed of processing, or feature availability may vary depending on the level of verification completed, the account profile, and the results of compliance review.
- Basic access may require minimum identity and contact information together with successful account checks.
- Expanded access may require BVN, NIN, government-issued ID, proof of address, selfie or liveness checks, bank linkage, or other verification evidence.
- We may delay, refuse, or restrict transactions until additional checks are completed to our satisfaction.
- Published or in-app limits may be changed at any time for product, risk, legal, or regulatory reasons.
3. Electronic Communications, E-Sign Disclosure, and Consent
By opening or using a Crane account, the user agrees to receive policies, notices, disclosures, receipts, confirmations, support responses, compliance notices, tax or legal communications, and other required messages electronically through email, in-app notice, website publication, SMS, or other digital channels we use.
The user agrees that electronic records and communications may satisfy any legal requirement that a communication be in writing, to the extent permitted by applicable law.
- Users are responsible for maintaining access to a valid email address, compatible device, updated software, and sufficient storage or printing capability for electronic records.
- A user may request to withdraw consent to electronic communications by contacting support@usecrane.co. However, if electronic delivery is operationally required for the service, we may suspend or terminate access where paper-based servicing is not feasible.
- Users remain responsible for reviewing notices and communications sent or made available through the channels designated on their account.
4. Cross-References
This Appendix should be read together with the Crane Privacy Policy, the Crane Terms and Conditions, and the Crane AML/KYC Policy. In the event of inconsistency, we may interpret and apply the documents in the manner that best preserves compliance, legal effect, and control integrity.
